These Terms of Service ("Terms") govern your access to and use of the AccessResourceCenter.com website and related services (collectively, the "Service"). The Service is owned and operated by ClinX Academy LLC, a Maryland limited liability company with its principal place of business at 10811 Barn Wood Ln, Potomac, MD 20854 (referred to as "we," "us" or "our"). By accessing or using any part of the Service, you ("you" or "User") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
1. Description of the Service
The Service provides information and resources about healthcare innovation, including a News & Events section and an AI chat interface (the "Chat Service"). Users can browse upcoming and past events, submit their own events for review, subscribe to email alerts, and interact with an AI‑powered assistant. The Service is not affiliated with, or endorsed by, the Centers for Medicare & Medicaid Services (CMS), the U.S. Department of Health & Human Services (HHS), or any government agency. The Service is intended for general informational and educational purposes only and not as a substitute for professional advice.
2. Eligibility and User Responsibilities
You may use the Service only if you are at least thirteen (13) years old, and you are legally capable of forming a binding contract. By using the Service, you represent and warrant that you meet these requirements. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must not:
- Use the Service to harass, abuse, threaten, defame, or otherwise violate the rights of others.
- Upload, post, submit or transmit any content you do not have a right to use or that infringes upon the intellectual‑property rights of others.

3. Accounts and Email Subscriptions
Certain features of the Service, such as subscribing to alerts, may require you to provide an email address. When you subscribe, we will send you a verification email and will store your email address, IP address and related audit information in our database. You agree that any information you provide is accurate and that you will not impersonate any person or entity. We may use your contact information to communicate with you about our services. You can unsubscribe at any time by following the instructions in our emails.
4. User‑Submitted Content
4.1 Event Submissions
You may submit information about upcoming or past events through our News & Events submission form. This process allows you to paste a URL to an event page (which will be automatically scanned using AI) and/or manually provide details about the event. You may be asked to provide additional information such as your name, email address and notes for reviewers. By submitting an event:
- You represent and warrant that you have the right to provide the information and that it is accurate to the best of your knowledge.
- You grant us a worldwide, non‑exclusive, royalty‑free, transferable license to host, display, reproduce, publish, modify and distribute the event details, including any transcripts and video links, on our website and in promotional materials.
- You acknowledge that your submission (including your name, event title, description, location, time, tags, transcripts and notes) may be publicly displayed once approved.
- You understand that we may edit, format, summarize or reject your submission at our sole discretion, and that we are not obligated to publish any event.
4.2 AI Chat Questions and Responses
When you interact with our Chat Service, you submit prompts or questions which are sent to our AI models (powered by third‑party providers such as OpenAI) to generate responses. We log your prompts, the AI responses and related metadata (including request identifiers, timestamps, and usage metrics) to improve our Service, enforce safety guardrails and produce analytics. We may display anonymized or excerpted portions of questions and answers on our website (for example, as examples of common queries), but we will not attribute them to you personally unless you give permission. Do not provide sensitive personal, health, financial or confidential information when using the Chat Service; the AI responses may be inaccurate, and we cannot guarantee confidentiality.
5. Data Collection and Privacy
Our collection and use of personal data is also governed by our Privacy Policy. In summary, we collect and process the following categories of data:
- Contact information: Your name and email address when you subscribe, submit an event, or contact us.
- Usage data and identifiers: IP addresses, browser information, request identifiers, device information, log files and analytics data (including chat usage, rate‑limits, and vector store lookup results).
- Event data: Event details you submit (title, description, host name, date/time, location, registration link, video link, tags, transcripts, and associated notes), as well as any information we extract from URLs you provide using automated tools and AI models.
- Chat data: Your messages to the Chat Service, the AI‑generated responses, and associated metadata.
- Cookies and similar technologies: We use cookies and local‑storage to improve your experience, remember preferences and for analytics.
We use this information to operate, maintain and improve our Service, to communicate with you, to moderate content, to analyze usage, and to comply with legal obligations. We share some data with third‑party service providers (such as OpenAI, Supabase, email and analytics providers) who process data on our behalf subject to contractual restrictions. We may also disclose data if required by law, a court order, or to protect our legal rights. We do not sell your personal information.

We will comply with applicable data‑protection laws such as the Maryland Personal Information Protection Act and, where applicable, the EU GDPR or other regional privacy regulations.
6. AI Disclaimer
Our AI Chat Service uses large language models and other generative AI technologies. AI can and does make mistakes. The outputs of the Chat Service may be incorrect, incomplete, misleading or outdated. We do not guarantee the accuracy, completeness, reliability or relevance of AI responses. AI responses do not constitute legal, medical, financial, professional or other advice. You should independently verify information and consult qualified professionals before making decisions based on content from the Service. We are not liable for losses or damages arising from reliance on AI‑generated content.
7. Intellectual Property
We and our licensors own all rights, title and interest in and to the Service and its content, including but not limited to the design, text, graphics, logos, icons, images, software and code (excluding user‑submitted content). These materials are protected by copyright, trademark and other laws. You may view and print portions of the Service for your personal, non‑commercial use. You may not copy, reproduce, distribute, modify or create derivative works from any part of the Service without our prior written permission, except as expressly permitted by these Terms.
User‑submitted content remains owned by the respective user. By submitting content, you grant us the license described in Section 4.1. You are responsible for ensuring that any content you submit does not infringe the intellectual‑property or privacy rights of others.
8. Third‑Party Content and Links
The Service contains links to third‑party websites and may embed content hosted by third parties (such as YouTube videos, transcripts or documents). We do not control, endorse or assume responsibility for any third‑party websites or content. Your interactions with third‑party sites are governed by their own terms of service and privacy policies. We are not responsible for the availability, accuracy or content of third‑party resources, nor for any loss or damage that may arise from your use of them.
9. Removal Requests and DMCA Compliance

- Identification of the copyrighted work you claim is infringed;
- Identification of the material you claim is infringing, including its URL on the Service;

11. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we expressly disclaim all warranties of any kind, whether express, implied or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Service will be uninterrupted, error‑free, secure or free of viruses; nor do we make any warranty about the accuracy, reliability or currency of any information on the Service (including AI‑generated content, transcripts, event details or third‑party content). Your use of the Service is at your own risk.
12. Limitation of Liability
To the maximum extent permitted by law, ClinX Academy LLC and its owners, directors, officers, employees, contractors and agents will not be liable for any indirect, incidental, consequential, special or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, use or other intangible losses, arising out of or in connection with your use of the Service or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising from or related to the Service will not exceed one hundred U.S. dollars (US $100) or the amount you paid to use the Service (if any) during the prior twelve months, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties, so the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
13. Indemnification
You agree to indemnify, defend and hold harmless ClinX Academy LLC and its owners, directors, officers, employees, contractors and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Service; (b) your violation of these Terms or any applicable law; (c) your violation of any rights of another (including intellectual‑property rights); or (d) any content you submit or make available through the Service.
14. Governing Law and Dispute Resolution
These Terms and your use of the Service are governed by the laws of the State of Maryland, without regard to its conflict‑of‑laws principles. You agree that any dispute arising under or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Montgomery County, Maryland, and you consent to the personal jurisdiction of those courts. If you are a consumer residing in a jurisdiction with laws that require a different governing law or venue (for example, the EU), then your local law may apply, and you may bring claims in your local courts.
